Operazione di fusione per incorporazione della In House ACI INFOMOBILITY SpA e AGENZIA RADIO TRAFFIC SpA nella In House ACI MOBILITY SpA (già ACI GLOBAL SpA)

Con la presente siamo ad informare che con atto del Notaio Avv. Raimondo Zagami, Notaio in Roma del 15.10.2025, Repertorio n. 8901 – Raccolta n. 4980, registrato a Roma in data 16.10.2025 al n. 32868 Serie 1T, depositato per l’iscrizione al Registro Imprese per gli effetti giuridici dal 03.11.2025 – è avvenuta la fusione per incorporazione della In House ACI INFOMOBILITY SpA, con sede legale in Roma, Largo Somalia 30/B, codice fiscale e partita IVA 08420060017, e della AGENZIA RADIO TRAFFIC SpA con sede legale in Milano Via Montalbino 3/5, codice fiscale e partita IVA 10682570154, nella In House ACI GLOBAL SpA con sede legale in Roma (RM), Via Stanislao Cannizzaro 83/A e Sede secondaria in Milano (MI) Via Montalbino 3/5, partita Iva 06601831008 e codice fiscale 10698880159.

La incorporante ACI GLOBAL SpA, con atto del Notaio Avv. Raimondo Zagami, Notaio in Roma del 15.10.2025, Repertorio n. 8902 – Raccolta n. 4981, registrato a Roma il 17.10.2025 al n. 33039 Serie 1T, ha modificato la propria denominazione in ACI MOBILITY Società per Azioni - in breve ACI MOBILITY S.p.A.

Per effetto delle sopra dette operazioni societarie, quindi, tutti i rapporti in essere alla data di decorrenza dell’iscrizione al Registro Imprese dal 1° novembre 2025 e ogni nuova attività faranno capo alla società:

La ACI MOBILITY S.p.A. incorporante assume tutti i diritti e gli obblighi delle due società incorporate, subentrando senza soluzione di continuità nella totalità dei relativi rapporti giuridici, attivi e passivi, anteriori alla fusione.

A seguito della suindicata operazione di fusione per incorporazione, decorrente dal 01.11.2025, risulta operativa la sola ACI GLOBAL SpA, a ridenominata dal 03.11.2025 "ACI MOBILITY S.p.A." (codice fiscale 10698880159), alla quale occorrerà fare riferimento per qualsiasi rapporto commerciale, anche se sorto precedentemente a tale data, indipendentemente dalla società a cui il rapporto era originariamente riferito.

In conseguenza di tale incorporazione ed ai sensi del vigente codice della Privacy e del Regolamento GDPR UE 2016/679, la incorporante subentra, inoltre, nella titolarità dei dati personali anagrafici, patrimoniali e reddituali (di seguito i “Dati Personali”) contenuti nei documenti e nelle evidenze informatiche di tutti i soggetti interessati, intesi quali clienti e fornitori oggetto della Fusione (di seguito gli “Interessati”), già oggetto di trattamento da parte delle due società incorporate, restando comunque invariate finalità e modalità del trattamento ai sensi della informativa già comunicata.

La incorporante è altresì tenuta, secondo quanto disposto e prescritto dal Provvedimento dell’Autorità Garante per la Protezione dei Dati Personali dell’8 aprile 2009, a fornire l’aggiornamento della medesima Informativa con specifico riferimento all’avvenuta fusione. Tale obbligo è assolto immediatamente, comunicando la presente informativa mediante pubblicazione sul sito web www.acimobility.it.

Merger by Incorporation of the In-House Companies ACI Infomobility S.p.A. and Agenzia Radio Traffic S.p.A. into the In-House Company ACI Mobility S.p.A. (formerly ACI Global S.p.A.)

We hereby inform you that, by deed executed by Notary Avv. Raimondo Zagami, Notary in Rome, dated 15 October 2025 (Repertory No. 8901 – Collection No. 4980), registered in Rome on 16 October 2025 under No. 32868 Series 1T and filed for registration in the Companies Register effective 1 November 2025, the merger by incorporation has taken place between:

  • ACI Infomobility S.p.A., an In-House company with registered office in Rome, Largo Somalia 30/B, Tax Code and VAT No. 08420060017, and
  • Agenzia Radio Traffic S.p.A., with registered office in Milan, Via Montalbino 3/5, Tax Code and VAT No. 10682570154,

into the In-House company ACI Global S.p.A., with registered office in Rome (RM), Via Stanislao Cannizzaro 83/A, and secondary office in Milan (MI), Via Montalbino 3/5, VAT No. 06601831008, Tax Code 10698880159.

By deed executed by Notary Avv. Raimondo Zagami in Rome on 15 October 2025 (Repertory No. 8902 – Collection No. 4981), registered in Rome on 17 October 2025 under No. 33039 Series 1T, the incorporating company ACI Global S.p.A. changed its company name to ACI Mobility Società per Azioni, abbreviated as ACI Mobility S.p.A.

As a result of the above-mentioned corporate transactions, all existing relationships as of 1 November 2025 (the date of registration with the Companies Register), as well as any new activities, will henceforth be carried out by the following company:

  • Company name: ACI Mobility S.p.A., single-member company operating under the In-House providing regime with the Automobile Club d’Italia (ACI)
  • Registered office: Via Stanislao Cannizzaro 83/A – 00156 Rome
  • Secondary and operational office: Via Montalbino 3/5 – 20159 Milan
  • Operational office: Largo Somalia 30/B – 00199 Rome

The incorporating company ACI Mobility S.p.A. assumes all rights and obligations of the two incorporated companies, succeeding without interruption to all existing legal relationships, assets, and liabilities prior to the merger.

Following the merger by incorporation, as from the registration date of 1 November 2025, only ACI Global S.p.A. will be operational, renamed ACI Mobility from Novembre 3, 2025 (Tax Code 10698880159) . Any commercial relationship, including those established prior to this date, shall therefore refer exclusively to ACI Mobility S.p.A., irrespective of the company originally involved.

The required legal notice is being sent to the clients and suppliers of the incorporated companies.

Pursuant to the current Privacy Code and EU GDPR Regulation 2016/679, the incorporating company also assumes ownership of the personal, financial, and income data (hereinafter “Personal Data”) contained in the documents and electronic records of all parties concerned—namely clients and suppliers involved in the merger (hereinafter the “Data Subjects”). Such data were previously processed by the incorporated companies, and the purposes and methods of processing remain unchanged as stated in the previously communicated privacy notice.

In accordance with the Decision of the Italian Data Protection Authority dated 8 April 2009, the incorporating company is also required to update the privacy notice with specific reference to the completed merger.
This obligation is fulfilled by the publication of this notice on the website www.acimobility.it.
